Terms and Conditions
Washington Lodge No. 70 member portal — Version 2
Effective Date: 09/18/2026 1. Acceptance and Eligibility Tow and Trowel (the "App") is operated by Matthew Mocko, an individual operating Tow and Trowel ("Developer," "we," "us"). These Terms of Use ("Terms") govern each individual user's access to and use of the App. You must be at least eighteen (18) years old to create or use an account. Account registration requires affirmative acceptance of these Terms. If you do not agree, do not create or use an account. Registration does not itself grant access to Lodge information. A person may submit a registration request, but an authorized Lodge administrator must approve the account and assign permissions before Lodge content becomes available. 2. Pilot and Changing Service The App is in an early pilot phase, is under active development, and is provided to designated pilot Lodges without a fee from Tow and Trowel. Features, interfaces, technical requirements, availability, and functionality may change. There is no promise that any feature will remain available or operate in the same manner. 3. License and Ownership The Developer owns the App and its source code, architecture, design, functionality, name, branding, and associated intellectual property, subject to third-party rights. You receive a limited, non-exclusive, non-transferable, revocable permission to use the App only for activities authorized by your Lodge and these Terms. You may not reverse engineer, decompile, disassemble, clone, reproduce, modify, create derivative works from, resell, redistribute, or otherwise appropriate the App or proprietary components, except to the extent applicable law expressly prevents such a restriction. 4. Lodge Data and User Content The Lodge owns or controls Lodge Data. Users do not transfer ownership of their lawful content to the Developer merely by using the App. By entering or uploading information, you represent that you and/or the Lodge have the authority and permissions necessary to store, use, classify, and share it through the App. The Developer does not pre-review or approve Lodge Data and is not responsible for determining its accuracy, completeness, legality, Masonic classification, copyright status, or appropriateness. 5. Lodge-Controlled Access The Lodge, not Tow and Trowel, decides who is approved, what permissions a user receives, whether a person is a Mason, the person's degree or rank, and what Lodge or Masonic material the person may access. Any adult may technically be granted access if the Lodge authorizes it. Tow and Trowel does not independently verify Masonic eligibility. There is no cross-Lodge access; attempting to access another Lodge's tenant or data is a serious violation. 6. Account and Device Security • Protect your password, email account, and authentication information and do not share accounts. • Secure computers, phones, tablets, browsers, networks, and other equipment used to access the App. • Sign out and protect sessions on shared or public devices and promptly report suspected compromise. • Accept responsibility for activity resulting from your or the Lodge's account, credential, email, session, or device security. Tow and Trowel is not responsible for the selection, installation, configuration, security, compatibility, maintenance, or condition of user or Lodge devices, browsers, networks, or equipment. Users install, access, and use the App at their own discretion. 7. Acceptable Use You may not use the App to violate law, infringe rights, harass, defraud, distribute malicious code, disrupt the service, bypass permissions, probe for unauthorized access, access another Lodge's tenant, impersonate another user, or interfere with other users or infrastructure. Unauthorized automated access is prohibited, including bots, scripts, scraping, automated extraction, unofficial API access, or automated queries that circumvent controls, extract data without authorization, impersonate users, or create unreasonable load, unless expressly authorized by the Developer. If you discover a suspected security vulnerability, report it privately and give the Developer a reasonable opportunity to investigate. Discovery of a vulnerability does not authorize access to additional data, privilege escalation, disruption, retention of data encountered, or premature public disclosure of exploitable details. 8. Masonic, Copyrighted, and Confidential Material The Lodge and its users are solely responsible for determining whether material may lawfully and appropriately be uploaded, distributed, downloaded, printed, or viewed and for assigning any degree, officer, committee, or other restrictions. Tow and Trowel is a technical storage and access medium and does not arbitrate ownership, copyright, Masonic classification, or internal entitlement disputes. The Developer may comply with a valid legal demand or other legally sufficient requirement to restrict, preserve, disclose, or remove material. 9. Downloads, Printing, Screenshots, and Copies Tow and Trowel cannot control what an authorized user does with information the user is permitted to view. Once information is downloaded, exported, printed, photographed, screen-recorded, copied, pasted, or otherwise reproduced by an authorized user, responsibility for its storage, disclosure, transmission, copying, security, and disposal belongs to the user and Lodge. Application access controls cannot guarantee that authorized viewers will not reproduce information they can see. 10. Payments and Third-Party Services Payment-card numbers, bank credentials, and payment-account credentials are handled by third-party payment providers and are not received or stored by Tow and Trowel. The App may store transaction metadata returned by a provider, such as amount, status, method, and transaction identifier. Funds do not pass through the Developer. The Lodge is responsible for its payment-provider relationship, fees, refunds, chargebacks, settlement, taxes, accounting, and provider requirements. The App may contain links to or integrations with third-party sites and services. Tow and Trowel does not control and is not responsible for an external site's content, availability, security, privacy practices, transactions, or actions. Third-party terms and privacy policies apply to interactions with those services. 11. Communications Lodge-generated news, notices, and communications are controlled by the Lodge. The Lodge and its users are responsible for the content, recipients, appropriateness, authorization, and right to contact recipients. Spam, harassment, fraud, unlawful messaging, or abusive/excessive use may result in restriction or suspension to protect users, the platform, or provider reputation. Essential Tow and Trowel operational communications, including account, recovery, security, and required legal/privacy notices, may be sent while an account remains active and are not marketing communications. 12. Compatibility and Accessibility Tow and Trowel makes reasonable efforts to support broad accessibility and compatibility, but does not guarantee universal accessibility, interoperability, or compatibility with every device, operating system, browser, extension, assistive technology, network, or future software version. Reasonable technical requirements may change as the App develops. 13. Audit and Activity Records The App may maintain login, activity, and audit records. The Lodge and Developer may use them for legitimate administration, support, security, troubleshooting, abuse prevention, and investigation. Audit records are not guaranteed to be complete, permanent, error-free, or suitable as legal evidence or as the Lodge's sole authoritative record. 14. Suspension and Security Actions The Developer may immediately suspend accounts or sessions, restrict functionality, disable features, or temporarily take a tenant offline when reasonably necessary to address security threats, unlawful activity, abuse, material violations, danger to users or data, or protection of the platform. Such action may occur without prior Lodge approval. The appropriate Authorized Lodge Contact will be notified as soon as reasonably practicable when the action materially affects the Lodge. 15. No Warranty THE APP IS A FREE, EXPERIMENTAL PILOT AND IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, THE DEVELOPER DISCLAIMS WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, SECURITY, ACCESSIBILITY, COMPATIBILITY, AND ERROR-FREE OR UNINTERRUPTED OPERATION. USE OF THE APP IS AT YOUR DISCRETION AND RISK. 16. Limitation of Liability TO THE FULLEST EXTENT PERMITTED BY LAW, THE DEVELOPER WILL NOT BE LIABLE FOR LOSS OR DAMAGE ARISING FROM USE OF OR INABILITY TO USE THE APP, INTERRUPTION, ERRORS, DATA LOSS, UNAUTHORIZED ACCESS, USER OR LODGE ACTIONS, THIRD-PARTY SERVICES, PAYMENT-PROVIDER ISSUES, DEVICE OR NETWORK PROBLEMS, OR DOWNLOADED OR REPRODUCED INFORMATION, INCLUDING INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST REVENUE, LOST PROFITS, LOST GOODWILL, OR BUSINESS INTERRUPTION. NOTHING IN THIS SECTION LIMITS OR EXCLUDES LIABILITY FOR THE DEVELOPER'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD, OR FOR ANY OTHER LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED. THE PARTIES ACKNOWLEDGE THAT THE APP IS PROVIDED WITHOUT CHARGE DURING AN EXPERIMENTAL PILOT. ANY LIMITATION OR EXCLUSION APPLIES ONLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. EXCEPT FOR LIABILITY ARISING FROM THE DEVELOPER'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD, AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE DEVELOPER'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE APP, THESE TERMS, OR THE PILOT WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00). 17. Indemnification by Lodge-Controlled Users To the fullest extent permitted by law and subject to the Lodge's Pilot Use Agreement, the Lodge will indemnify, defend, and hold harmless the Developer from and against third-party claims, demands, actions, damages, liabilities, losses, judgments, costs, and reasonable expenses, including reasonable attorneys' fees, arising out of or relating to Lodge-controlled data, content, access decisions, payment relationships, communications, infringement or other rights violations, or material breaches attributable to the Lodge or its authorized users. This obligation does not apply to the extent a claim results from the Developer's sole intentional misconduct. The scope of this indemnification is subject to, and must be read together with, the signed Pilot Use Agreement. 18. Changes to Terms Material changes affecting user rights, obligations, or data handling will be communicated with reasonable advance notice through the App, the Lodge, or other appropriate means. Administrative clarifications, security changes, routine updates, and changes required by law may take effect without re-signing. Continued use after properly noticed changes may require renewed acceptance when the Developer determines it appropriate. 19. Governing Law and Disputes These Terms are governed by Connecticut law, without regard to conflict-of-law principles. To the extent a dispute is not governed by a signed Lodge agreement, the parties should first attempt good-faith informal resolution for thirty (30) days after acknowledged written notice, except where immediate court relief is reasonably necessary. Legal proceedings will be brought in an appropriate state or federal court in Connecticut. 20. Contact Questions about these Terms may be directed to: matthewmocko23@gmail.com
